These Terms of Use govern access to and use of ventureingenuity.com, operated by Venture Ingenuity Partners LLC ("VIP," "we," "us," or "our"). By using this website, you agree to these Terms.
Website Information
Website content is provided for general business information and to describe VIP's capabilities and services. It is not legal, tax, accounting, investment, engineering, procurement, cybersecurity, or other regulated professional advice. Specific engagements are governed only by written agreements accepted by the parties.
Requests for Services
Submitting a Request Services form, RFP, RFQ, RFI, project brief, or other information does not create a client relationship, contract, teaming agreement, non-disclosure agreement, exclusivity arrangement, or obligation for VIP to provide services. An engagement begins only when the applicable parties execute or otherwise accept a written agreement or scope of work.
User Submissions
You represent that you are authorized to submit the information and files you provide and that doing so does not violate another person's rights, contractual restrictions, law, regulation, security requirement, or confidentiality obligation. Do not upload malware, executable code, unlawful material, classified information, export-controlled technical data, passwords, payment-card information, protected health information, or other highly regulated data through the public website.
Unless separately agreed in writing, website submissions should not be treated as subject to an NDA. VIP may use submitted information to evaluate and respond to the request, prepare potential scopes or proposals, protect its systems, and maintain normal business records in accordance with the Privacy Policy.
Intellectual Property
The VIP name, logo, website design, original text, graphics, downloadable capability statement, and other original website content are owned by or licensed to VIP and may be protected by copyright, trademark, and other laws. You may view and download public materials for legitimate business evaluation, but may not republish, misrepresent, sell, or use them in a manner that implies endorsement or affiliation without permission.
No Guarantee of Results
Business development, proposal, capture, project, and consulting outcomes depend on factors outside VIP's control. Past experience, prior awards, proposal wins, project values, examples, or other historical results do not guarantee future awards, revenue, performance, or commercial outcomes.
Payments
Where VIP makes a Client Payments page available, payments must correspond to a valid VIP invoice, proposal, deposit request, statement of work, or other written payment instruction. The payer is responsible for confirming the amount, currency, reference, and recipient before authorizing payment.
PayPal, Wise, card networks, banks, and other payment providers are independent third parties. Their processing fees, foreign-exchange charges, settlement times, eligibility rules, payment-method availability, security controls, and terms may apply. Unless VIP agrees otherwise in writing, payment is considered received when the applicable funds are successfully credited to VIP and are not subject to reversal, chargeback, recall, or similar restriction.
Making a payment through the website does not by itself create, expand, renew, or modify a client relationship, scope of work, contract, confidentiality obligation, or other engagement. Refunds, credits, deposits, retainers, cancellations, and disputed payments are governed by the applicable written agreement or invoice and by mandatory law.
Third-Party Services and Links
The website may reference or link to third-party organizations, programs, payment providers, platforms, or services. VIP does not control third-party sites and is not responsible for their content, availability, security, privacy practices, or independent terms.
Availability and Security
We may modify, suspend, restrict, or discontinue website functions at any time. We take reasonable steps to protect the website, but cannot guarantee uninterrupted availability or that the site will be free from all errors, vulnerabilities, or malicious activity.
Limitation of Liability
To the maximum extent permitted by applicable law, VIP will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from use of or inability to use this public website. Nothing in these Terms excludes liability that cannot legally be excluded.
Governing Law
Unless mandatory law requires otherwise or a separate written agreement states differently, these Terms are intended to be governed by the laws of the State of Delaware, United States, without regard to conflict-of-law principles.
Changes
We may revise these Terms as the website or business changes. Updated Terms become effective when posted with a revised effective date.
